PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING Dukan Khata. BY ACCESSING OR USING OUR PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE IMMEDIATELY.
1. Agreement to Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("Shop User", "User", "you", or "your") and Dukan Khata ("Company", "we", "us", or "our") governing your access to and use of the Dukan Khata platform, including its website, web application, APIs, and all associated services (collectively, the "Services" or "Platform").
By registering for an account, clicking "I Agree", or otherwise accessing or using the Services, you represent that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; (c) you are authorized to bind your business entity, if applicable; and (d) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a business or legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to "you" shall refer to such entity.
2. Definitions
The following definitions apply throughout these Terms:
- "Platform" means the Dukan Khata web application, APIs, and all associated features and services.
- "Shop User" or "User" means any individual or business entity that registers and uses the Platform.
- "Super Admin" means authorized personnel of Dukan Khata with platform-level administrative access.
- "Subscription" means a paid access plan selected by the User, processed through Razorpay.
- "Content" means all data, information, text, images, and materials uploaded or input by Users.
- "Intellectual Property" means all patents, trademarks, trade names, copyrights, trade secrets, and other proprietary rights.
- "Third-Party Services" means services provided by entities other than Dukan Khata that are integrated with the Platform, including Razorpay and WhatsApp Business API.
- "Confidential Information" means any non-public information disclosed by either party that is designated as confidential or should reasonably be understood to be confidential.
3. Account Registration and Security
3.1 Registration Requirements
To access the Services, you must register for an account by providing your shop name, owner name, and a valid mobile phone number. Registration is completed via OTP (One-Time Password) verification. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your authentication credentials and for all activities that occur under your account. You agree to:
- Immediately notify us at security@dukaanplus.in of any unauthorized access or security breach.
- Never share your account credentials or authentication tokens with any unauthorized third party.
- Log out of your account at the end of each session on shared or public devices.
- Use your account only for lawful business purposes as described herein.
We reserve the right to disable any account at our sole discretion if we believe your account security has been compromised or if you are in violation of these Terms.
3.3 One Account Per Shop
Each mobile phone number may be associated with only one Shop User account. Multiple accounts for the same business entity are not permitted without express written consent from Dukan Khata.
4. Description of Services
4.1 Core Platform Features
Dukan Khata provides the following core functionalities, subject to your active subscription plan:
- Billing and Invoice Management: Create, manage, and share professional invoices with PDF generation and WhatsApp sharing capabilities.
- Customer Relationship Management: Maintain customer records, track purchase histories, and manage customer data.
- Product and Inventory Management: Manage product catalogs, track stock levels, and maintain pricing information with barcode support.
- Expense Tracking: Record, categorize, and monitor business expenses.
- Financial Reporting and Analytics: Access sales reports, revenue summaries, finance statistics, and business performance dashboards.
- WhatsApp Marketing: Configure WhatsApp Business API integration, create message templates, and run marketing campaigns.
- Subscription Management: Manage your Dukan Khata subscription plan, billing cycles, and payment history.
4.2 Feature Availability
Certain features of the Platform are only available to Users on specific subscription plans. We reserve the right to modify, add, or remove features at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Services.
4.3 Super Admin Panel
The Super Admin module is accessible exclusively to authorized Dukan Khata personnel. Shop Users have no access to the Super Admin panel. Dukan Khata Super Admins may access anonymized platform statistics and, in limited circumstances required by law or for support purposes, shop-level information subject to our Privacy Policy.
5. Subscription Plans and Payment Terms
5.1 Subscription Plans
Access to the Platform requires an active subscription. Dukan Khata offers multiple subscription plans with varying features and pricing, available on monthly or annual billing cycles. Current plan details, pricing, and feature comparisons are available on our Platform.
5.2 Free Trial
We may offer a free trial period to new Shop Users. The duration and terms of any free trial are specified at the time of registration. Upon expiry of the free trial, continued use of the Platform requires a paid subscription. We reserve the right to modify or discontinue trial offerings at any time.
5.3 Payment Processing
All payments are processed through Razorpay, a third-party payment gateway. By making a payment, you agree to Razorpay's terms and conditions. Dukan Khata does not store your full payment card details. Payment information is handled and secured directly by Razorpay in compliance with PCI-DSS standards.
5.4 Recurring Subscriptions
When you subscribe to a recurring plan, you authorize Dukan Khata and Razorpay to automatically charge your payment method at the start of each billing cycle until you cancel. Recurring subscription payments are processed via Razorpay's auto-debit mandate (e-mandate/NACH) mechanism. You are responsible for ensuring your payment method remains valid and has sufficient funds.
5.5 Subscription Renewals and Failures
If a recurring payment fails, your subscription may be suspended or downgraded. We will make reasonable efforts to notify you of payment failures. Dukan Khata shall not be liable for any data loss, business disruption, or other consequences arising from subscription suspension due to payment failure.
5.6 Cancellation Policy
You may cancel your subscription at any time through the Subscription section of the Platform or by contacting support@dukaanplus.in. Cancellation will take effect at the end of the current billing cycle. We do not provide pro-rated refunds for partial billing periods, except where required by applicable law.
5.7 Refund Policy
Subscription fees are generally non-refundable. Refund requests may be considered in exceptional circumstances at our sole discretion. All refund requests must be submitted in writing to billing@dukaanplus.in within 7 days of the disputed charge. Approved refunds will be processed to the original payment method within 7-10 business days.
5.8 Price Changes
We reserve the right to modify our subscription prices. We will provide at least 30 days' advance notice of any price changes via email or in-platform notification. Your continued use of the Platform after the effective date of a price change constitutes your acceptance of the new pricing.
6. Acceptable Use Policy
6.1 Permitted Uses
You may use the Platform solely for lawful business management purposes, including billing, inventory management, customer management, and marketing for your registered business entity.
6.2 Prohibited Activities
You agree NOT to use the Platform for any of the following purposes:
- Violating any applicable local, state, national, or international law or regulation, including but not limited to Indian tax laws, the Information Technology Act 2000, and consumer protection regulations.
- Uploading, transmitting, or processing illegal, fraudulent, defamatory, obscene, or harmful content.
- Attempting to gain unauthorized access to any portion of the Platform, other user accounts, or related systems.
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Platform.
- Reselling, sublicensing, or redistributing access to the Platform without prior written authorization.
- Using automated tools, bots, scrapers, or crawlers to access or extract data from the Platform.
- Introducing viruses, malware, ransomware, or other malicious code into the Platform.
- Circumventing, disabling, or interfering with security features, subscription enforcement, or access controls.
- Using the Platform to send unauthorized bulk communications or spam.
- Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
- Storing or processing data subject to special regulatory protections (e.g., health records, financial institution data) without appropriate compliance measures.
6.3 WhatsApp Usage Compliance
When using the WhatsApp integration features, you agree to comply with WhatsApp's Business Policy and Commerce Policy, obtain all required consents from message recipients, and use messaging features only for legitimate business communications. Violation of WhatsApp's policies may result in suspension of your WhatsApp access and/or your Dukan Khata account.
7. Intellectual Property Rights
7.1 Dukan Khata Platform IP
The Platform, including all software, code, design, user interface, logos, trademarks, and documentation, is the exclusive property of Dukan Khata and is protected by Indian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes, subject to these Terms.
7.2 User Content
You retain all ownership rights in the data and content you input into the Platform ("User Content"), including your customer records, invoices, products, and business information. You grant Dukan Khata a limited, non-exclusive license to access, process, and use your User Content solely to the extent necessary to provide the Services, as described in our Privacy Policy.
7.3 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant Dukan Khata a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback without any obligation of compensation or attribution to you.
7.4 Restrictions
You may not copy, reproduce, modify, create derivative works from, distribute, sell, or otherwise exploit the Platform or any part thereof without our express prior written consent. Any unauthorized use of Dukan Khata intellectual property may result in legal action.
8. Data Ownership and Protection
8.1 Your Data
You are the owner of all business data you input, upload, or create through the Platform. Dukan Khata does not claim ownership over your data. We act as a data processor on your behalf with respect to any personal data you provide about your customers.
8.2 Data Security
We implement industry-standard security measures to protect your data, including JWT-based authentication, encrypted data transmission (HTTPS/TLS), and role-based access controls. Our complete security practices are described in our Privacy Policy.
8.3 Data Backup
While we maintain internal backup procedures, we do not guarantee the recovery of any data in the event of data loss. You are solely responsible for maintaining independent backups of your critical business data. Dukan Khata shall not be liable for any loss of data arising from system failures, user errors, or any other cause.
8.4 Data Portability
Upon request, we will make reasonable efforts to provide you with an export of your business data in a standard format within 30 days of your written request to support@dukaanplus.in, subject to technical feasibility.
8.5 Data Upon Termination
Upon termination of your account, we will retain your data for a period of 90 days during which you may request an export. After this period, your data may be permanently deleted from our active systems, subject to our legal retention obligations as described in our Privacy Policy.
9. Third-Party Services and Integrations
9.1 Razorpay
Payment processing for Dukan Khata subscriptions is provided by Razorpay Financial Solutions Pvt. Ltd. Your use of Razorpay's services is subject to Razorpay's Terms of Service and Privacy Policy. Dukan Khata is not responsible for any payment failures, disputes, or data breaches arising from Razorpay's services.
9.2 WhatsApp Business API
WhatsApp messaging features are provided through the WhatsApp Business API, governed by Meta's policies. You are responsible for obtaining all necessary approvals, consents, and complying with applicable laws when using WhatsApp messaging features.
9.3 Disclaimer
Third-party services are provided "as is" and Dukan Khata makes no warranties regarding their performance, availability, or security. We are not responsible for any losses or damages arising from your use of or reliance on third-party services.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Dukan Khata, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO Dukan Khata IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 No Financial or Legal Advice
The financial reports, analytics, and dashboards provided by Dukan Khata are for informational purposes only and do not constitute financial, accounting, tax, or legal advice. You should consult qualified professionals for advice on your specific business and legal requirements, including GST compliance and tax filings.
10.4 Force Majeure
Dukan Khata shall not be held liable for any delay or failure in performance of the Services resulting from causes beyond our reasonable control, including but not limited to acts of God, internet outages, third-party service failures, government actions, pandemics, or natural disasters.
11. Indemnification
You agree to indemnify, defend, and hold harmless Dukan Khata and its officers, directors, employees, agents, and successors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform or any services in violation of these Terms.
- Your User Content, including any claims that your data infringes the rights of any third party.
- Your violation of any applicable law, regulation, or third-party right.
- Any false, inaccurate, or misleading information provided by you.
- Any unauthorized use of your account credentials.
12. Termination
12.1 Termination by You
You may terminate your Dukan Khata account at any time by canceling your subscription and contacting support@dukaanplus.in. Termination does not entitle you to a refund of any prepaid subscription fees unless required by applicable law.
12.2 Termination by Dukan Khata
We reserve the right to suspend or terminate your account with immediate effect if:
- You breach any provision of these Terms and fail to remedy such breach within 7 days of notice.
- You engage in fraudulent, abusive, or illegal activity on the Platform.
- Your account is involved in a security incident that poses a risk to other users or the Platform.
- Your subscription payment repeatedly fails and is not resolved within 14 days.
- We are required to do so by applicable law or court order.
12.3 Effect of Termination
Upon termination, your right to access and use the Platform immediately ceases. Sections 7 (Intellectual Property), 10 (Disclaimers), 11 (Indemnification), 13 (Governing Law), and any other provisions that by their nature should survive termination shall survive termination of these Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
13.2 Jurisdiction
You and Dukan Khata irrevocably submit to the exclusive jurisdiction of the courts located in [City, State], India, for the resolution of any disputes arising out of or relating to these Terms or the Platform.
13.3 Informal Resolution
Before initiating any formal legal proceeding, we encourage you to contact us at legal@dukaanplus.in to attempt to resolve any dispute informally. Both parties agree to make reasonable good-faith efforts to resolve disputes through informal negotiation for a period of 30 days before commencing any legal action.
13.4 Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or in relation to these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The place of arbitration shall be [City], India, and the language of arbitration shall be English.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any supplemental terms communicated to you, constitute the entire agreement between you and Dukan Khata with respect to the Platform and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Dukan Khata.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Dukan Khata may freely assign these Terms in connection with a merger, acquisition, restructuring, or sale of all or substantially all of our assets.
14.5 Notices
All notices under these Terms shall be in writing. Notices to Dukan Khata should be sent to legal@dukaanplus.in. Notices to you will be sent to the email address or phone number associated with your account.
14.6 Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Your continued use of the Platform after the effective date of amendments constitutes acceptance of the revised Terms.
14.7 Language
These Terms are drafted in English. In the event of any conflict between an English version and any translated version of these Terms, the English version shall prevail.
